Please read these Terms of Service ("Terms") carefully before using the VOICE DATA website or engaging our services.
By accessing our website, using our services, or engaging with VOICE DATA SYSTEMS, LLC, you agree to be bound by these Terms. If you do not agree with any part, you must not access our website or use our services.
These Terms constitute a legally binding agreement between you and VOICE DATA. We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting.
VOICE DATA provides a comprehensive range of technology services, including but not limited to: voice systems design, data infrastructure, cloud and network solutions, AI and speech analytics, cybersecurity and compliance, and system integration.
You agree to use our website only for lawful purposes. Prohibited conduct includes violating any applicable law, attempting unauthorized access, introducing malicious software, interfering with website operations, or using automated means to access data without consent.
All content and materials on our website or delivered as part of our services are owned by VOICE DATA or our licensors and are protected by applicable intellectual property laws.
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the business relationship. Confidential Information includes technical data, business plans, source code, and trade secrets.
As a client, you agree to provide accurate information, designate a point of contact, provide timely feedback, grant necessary access, comply with applicable laws, ensure proper licensing of third-party materials, and make timely payments.
Fees will be as set forth in the applicable Statement of Work. Invoices are due within thirty days. Late payments incur interest at 1.5% per month. All fees are exclusive of applicable taxes.
To the maximum extent permitted by law, VOICE DATA shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability shall not exceed the total fees paid during the twelve months preceding the claim.
You agree to indemnify and hold harmless VOICE DATA from claims arising out of your use of our website or services in violation of these Terms, your violation of applicable law, or infringement of third-party rights.
We warrant that our services will be performed in a professional manner. Services are provided "as is" without warranties of any kind, either express or implied.
Either party may terminate upon thirty days written notice. Either party may terminate immediately upon material breach that remains uncured for fifteen days.
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, or pandemic.
These Terms shall be governed by the laws of the State of Michigan. Disputes shall first be resolved through good-faith negotiations, then binding arbitration in Grand Rapids, Michigan.
These Terms constitute the entire agreement between the parties and supersede all prior agreements and understandings.
If any provision is found invalid, the remaining provisions shall continue in full force and effect.
No waiver of any term shall constitute a waiver of any other term or any future occasion.
